1. Agreement to Terms

By accessing or using HRSoft's services, website, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our Services.

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

1.2 Corporate Users

If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

HRSoft provides cloud-based human resources management solutions including but not limited to:

  • Recruitment and applicant tracking
  • Employee database management
  • Payroll processing and compliance
  • Performance management
  • HR analytics and reporting
  • Employee self-service portals

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will provide reasonable notice of significant changes that may affect your use of the Services.

2.3 Free Tools

We may offer free tools and resources. These are provided "as is" and may be modified or discontinued without notice.

3. User Accounts

3.1 Account Registration

To access certain features, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

3.3 Multiple Users

If you are setting up accounts for employees or team members, you are responsible for their compliance with these terms and for managing their access appropriately.

4. Subscriptions & Payments

4.1 Subscription Plans

We offer various subscription plans with different features and limitations. The specific terms of your subscription will be detailed in your order form or service agreement.

4.2 Billing and Payment

  • Fees are payable in advance according to your billing cycle
  • All fees are exclusive of taxes, which are your responsibility
  • Payment is non-refundable except as required by law
  • We may change fees with 30 days' notice

4.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel automatic renewal through your account settings.

4.4 Free Trials

Free trials are offered at our discretion and may be terminated at any time. At the end of the trial period, your subscription will automatically convert to a paid plan unless cancelled.

5. Intellectual Property

5.1 Our Intellectual Property

All rights, title, and interest in our Services, including all intellectual property rights, are and will remain the exclusive property of HRSoft and our licensors.

5.2 License Grant

Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes.

5.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of our Services
  • Reverse engineer, decompile, or attempt to extract source code
  • Remove any proprietary notices or labels
  • Use our Services to develop competing products

6. User Content

6.1 Your Content

You retain ownership of any data, information, and content you upload to our Services ("User Content").

6.2 License to Us

You grant us a worldwide, royalty-free license to use, store, and process your User Content solely to provide and improve our Services.

6.3 Employee Data

When you upload employee data, you represent that you have the necessary rights and consents to process such data through our Services.

6.4 Data Portability

Upon request, we will provide you with a copy of your data in a standard format, subject to applicable fees and terms.

7. Prohibited Activities

You agree not to use our Services to:

7.1 Illegal Activities

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Transmit malicious code or viruses
  • Engage in fraudulent activities

7.2 Service Abuse

  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of our Services
  • Overload our infrastructure with excessive requests
  • Scrape or harvest data without permission

7.3 Content Restrictions

  • Upload unlawful, offensive, or harmful content
  • Share confidential information without authorization
  • Transmit spam or unsolicited communications

8. Termination

8.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us.

8.2 Termination by Us

We may suspend or terminate your access to our Services if you:

  • Violate these terms
  • Fail to pay fees when due
  • Use our Services in a way that creates legal exposure for us
  • Cease business operations or become insolvent

8.3 Effect of Termination

Upon termination:

  • Your right to use our Services immediately ceases
  • We may delete your data after a reasonable period
  • Outstanding fees become immediately due

9. Disclaimers

9.1 "As Is" Basis

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

9.2 No Guarantees

We do not guarantee that:

  • Our Services will meet all your requirements
  • Our Services will be uninterrupted or error-free
  • Results obtained from our Services will be accurate or reliable

9.3 Third-Party Services

We are not responsible for third-party services that integrate with our platform. Your use of such services is subject to their respective terms.

10. Limitation of Liability

10.1 Limitation

To the maximum extent permitted by law, HRSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10.2 Total Liability

Our total cumulative liability to you for all claims arising from or related to these terms shall not exceed the greater of:

  • $100 USD, or
  • The amount you paid us for the Services in the 12 months preceding the claim

10.3 Essential Purpose

These limitations apply even if any remedy fails of its essential purpose.

11. Indemnification

You agree to indemnify and hold harmless HRSoft, our affiliates, officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services
  • Your violation of these terms
  • Your infringement of any third-party rights
  • Your User Content

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

The courts located in [Your City, State] shall have exclusive jurisdiction over any disputes arising from these Terms.

13. Dispute Resolution
